About the exchangeThe purpose of the exchange is to allow partners in any consortium to sell their partnership or exchange it with another member.There are two potential ways the partnership can be offered, to members only, or as a general offer. With member only offers, approvals are somewhat simpler as members are fully aware of the way syndicates function and perhaps more connected so as to be able to know more information. You can take a lower offer than you request, but cannot increase the asking price, or withdraw it from sale once a person has agreed to pay the amount asked for. Once the sale is agreed and providing the person buying it does so on the terms and in the timescale agreed, you must complete the sale. The listing on the exchange will be removed once the sale is agreed, but can be reactivated at no cost if the sale fails to be completed due to the buyer failing to complete. If it is offered just to members, and payable completely in barter units then there is NO FEE involved on the offering, so if you are not in a hurry to sell, this is always the best route to start. (no introductory rewards apply to these transactions). If a general offering, and payable in barter units the fee to put it on the exchange is £1, 500, £1000 of this is available as an introductory reward to members or consultants who introduce a buyer for this partnership. The fee can be in cash or barter units or a combination of the two. The introductory reward can be in barter units or if requested, and the exchange fee was paid in cash, then in cash as well. If a general offering and payable in cash, then the fee for packaging the offer and including it on the exchange is £3,000, and it is treated similar to the new offerings. In each case on the sale of the partnership it will need to be registered as all partnerships are with Property Club International this costs £2,000, but can be paid in barter units if the transaction was also in barter units. The cost of this should be included within the price set. Private salesIf you sell or agree an exchange yourself without using the exchange then no fee is payable relating to that transaction but you still need to make sure that the partnership is re-registered or the buyer will not be able to offer it for sale through the exchange at a later time. Death of a partnerIn the case of the death of a partner, the partnership can be reregistered in the name of the person to inherit the partnership or a relative or other appointed to handle the sale of the partnership, there is no cost for this, and the above offer conditions do not have or be met for this transfer to take place. This means that a member can leave their partnership to an individual or group, in their will and this involves no re-registration fee. A new membership, with subscriptions payable monthly will start at the date of re-registration. Any offer for sale can then be done as above and must comply with the rules above. TaxYou could be liable to local taxation on the profit that you make when selling a consortium partnership. How this is treated will depend upon your tax system, the form you held the partnership in, what exactly you have sold and perhaps several other factors. If held offshore then you may not have any liability until you pay the funds back to an on shore entity. As different countries have varying tax structures and these change on an ongoing basis, you will need to research or work out how to best hold and transfer partnerships so as to not encounter more tax liability than you need to. Exchanges and barter transactions may not involve you in tax liability. Pricing your offeringIn coming up with a fair price for your offering you should take into account the likely income, the amount of effort they will need to put in and the stage that the project has reached. So a senior partnership is worth what you bought it for at that time, but as soon as all are sold it may be worth considerably more, again as soon as progress is made, it will increase in value, depending upon the shortening of time to when income flows and the prospects of the consortium. When trading, and with a proven income stream, it is again worth more, and somewhat more easily to value. Many value a business as three times its profit plus its assets, however with growing businesses and those with rights of any type, including intertrading rights within a group of consortiums, then the value of these and other rights and property assets have to be considered. A website and special software is an asset although often written off from a tax viewpoint should be valued as the cost of creating the same starting from a zero start and the loss of sales that would result over this development period. Websites and software are extremely difficult to estimate cost of and frequently turn out to be far more expensive so a contingency of about 50% should be added to calculations to allow for this. Finally consider the value of enjoyment or job satisfaction something difficult to price but increasing the value of some offerings, while anything unpleasant may distract from the value. |
